Please read the agreement. The key points: £118.80 a month inc VAT by Direct Debit, cancel with 30 days' notice, and a website buyout fee of £1,188 + VAT is payable when you cancel.
1. Parties
Service provider: Pure Marketing Services Ltd, trading as PureWeb, a company registered in England and Wales (company number 12369601) whose registered office is at Lifford Hall, Lifford Lane, Kings Norton, Birmingham, B30 3JN ("PureWeb", "we", "us").
Client: the business named at sign-up ("you"). By ticking the acceptance box and setting up your Direct Debit, you agree to these terms in full and confirm you are authorised to agree to them on behalf of the business.
2. The service
Under the plan you choose, we will design, build and maintain a website for you, including: design and development of a WordPress website; managed UK hosting; business email address(es) at your domain; an SSL certificate; minor content updates (clause 5); and ongoing software updates, backups and security monitoring. The service is limited to what is included in your plan. Anything else is quoted separately.
3. Monthly fee and VAT
You agree to pay the monthly fee for your plan: Starter £99.00 / Business £149.00 / Professional £199.00 / E-Commerce £299.00. All prices exclude VAT. VAT at the prevailing UK rate (currently 20%) is added to each payment. A VAT invoice is emailed to you each month.
4. Payment by Direct Debit
Payments are collected monthly by Direct Debit through GoCardless. By setting up your Direct Debit mandate you authorise us to collect the monthly fee plus VAT on a recurring basis. Your first payment is collected as soon as your mandate is set up (normally within a few working days of sign-up) and subsequent payments on the same date each month. If a payment fails and is not resolved within 7 days of us telling you, we may suspend the service until it is. Please keep your bank details up to date.
5. Minor updates
Minor updates are small changes that can be completed within 30 minutes per request, such as text edits, image replacements, price or contact detail changes, opening hours, and adding or removing team members. Email requests to info@puremarketing.uk and we will complete them within 3 working days. New pages, redesigns and new functionality are not included and will be quoted separately.
6. Delivery
We aim to deliver your website within 7 working days (14 for E-Commerce) of receiving your completed brief and all the materials we need. Timescales depend on you providing content and approvals promptly.
7. Cancellation and website buyout
Either party may cancel this agreement at any time by giving at least 30 days' written notice by email. The subscription ends at the end of the notice period. Payments already made are not refunded.
Website buyout fee. Because we design and build your website at our own cost and recover that cost through the monthly fee, a fixed website buyout fee is payable when the agreement is cancelled by you, or by us because of unpaid fees. The buyout fee is 12 times your monthly fee (excluding VAT), plus VAT. It is fixed and does not reduce over time. For example, on the Professional plan at £199 a month the buyout fee is £2,388 + VAT.
The buyout fee is payable when you give notice of cancellation. Once all outstanding fees are paid we will, within 14 working days: (a) provide the full website files to you in a standard format; and (b) help migrate your business email to a provider of your choice. If we cancel for any reason other than unpaid fees, no buyout fee is payable and we will provide your website files in the same way.
8. Ownership
All content, images, logos and brand materials you provide remain yours. During the subscription the website design, code and hosting are provided by us as part of the service. On payment of the buyout fee, the website files are transferred to you. Your domain name is registered in your name. We may show your website in our portfolio unless you ask us not to in writing.
9. Hosting, uptime and support
We use reasonable efforts to maintain 99.5% monthly uptime. Support requests to info@puremarketing.uk receive a response within 2 working days. If your website is down we will prioritise it and respond within 4 business hours (Monday to Friday, 9am to 5:30pm).
10. Your responsibilities
You agree to provide the content we need promptly; make sure the content you provide does not infringe anyone else's rights; keep your payment details current; not access or change the hosting environment without our written permission; and make sure your website content complies with UK law, including UK GDPR.
11. Limitation of liability
Our total liability to you under this agreement shall not exceed the total fees you paid in the 3 months before the claim. We are not liable for indirect or consequential loss, including loss of profits, business or data. Nothing in this agreement limits liability that cannot be limited by law.
12. Confidentiality
Each party will keep confidential any information a reasonable person would consider confidential. This continues for 2 years after the agreement ends.
13. Changes to these terms
We may update these terms or our prices by giving you at least 30 days' written notice. If you do not accept a change you may cancel before it takes effect, and in that case no buyout fee is payable.
14. Governing law
This agreement is governed by the laws of England and Wales, and both parties submit to the exclusive jurisdiction of its courts.
15. Entire agreement
This agreement, together with your plan description and the details you provide at sign-up, is the entire agreement between us. This is a business-to-business agreement and does not affect any statutory rights you have.
