1. Parties

Service Provider: Pure Marketing Services Ltd, Grosvenor House, 11 St Paul's Square, Birmingham B3 1RB ("Pure Marketing", "we", "us").

Client: The individual or business named at sign-up ("you", "the Client"). By ticking the acceptance boxes and proceeding to payment, the Client agrees to be bound by these terms in full.

2. Services Provided

Pure Marketing will design, build and maintain a website for the Client under the chosen subscription plan, including: design and development of a WordPress website; UK-based managed hosting; business email address(es) at the Client's domain; SSL certificate; minor content updates (defined in clause 5); and ongoing maintenance and security monitoring. Services are limited to those included in the selected plan. Additional services are quoted separately.

3. Monthly Subscription Fee & VAT

The Client agrees to pay the monthly fee for their selected plan: Starter £99.00 / Business £149.00 / Professional £199.00 / E-Commerce £299.00 — all excluding VAT. All prices are exclusive of VAT. VAT at the prevailing UK rate (currently 20%) will be added to each monthly payment. A VAT invoice will be issued by email on or around the billing date each month.

4. Payment — Direct Debit via GoCardless

All subscription payments are collected by direct debit through GoCardless. By setting up your direct debit mandate at sign-up, you authorise Pure Marketing to collect the monthly fee plus VAT on a recurring basis. Your first payment is taken at sign-up and covers the first month. Subsequent payments are collected on the same date each month. A VAT invoice will be emailed each month. Pure Marketing reserves the right to suspend services if a payment fails and is not resolved within 7 days of notification. It is the Client's responsibility to keep bank account details current.

5. Minor Updates

Minor updates are small changes completable within 30 minutes per request, including: text edits, image replacements, contact detail changes, opening hours updates, and adding or removing team member photos. Requests should be emailed to info@puremarketing.uk and will be completed within 3 working days. Work outside this definition — including new pages, redesigns, or new functionality — is not included and will be quoted separately.

6. Website Delivery

Pure Marketing will endeavour to deliver the website within 7 working days (14 for E-Commerce) of receiving the completed onboarding form and all required materials. Timelines are contingent on the Client providing content and approvals promptly.

7. Cancellation & Website Buyout — PLEASE READ CAREFULLY

Either party may cancel this agreement at any time by giving a minimum of 30 days' written notice by email to info@puremarketing.uk. The subscription ends at the conclusion of the 30-day notice period. No refund will be given for any portion of the final month's payment.

Website Buyout Fee — applies on all cancellations: Because Pure Marketing designs and builds the website at its own cost and recoups this through the monthly subscription, a flat website buyout fee becomes payable upon cancellation. This fee is fixed, does not reduce over time, and applies regardless of how long the subscription has been active.

This fee becomes immediately payable upon written notice of cancellation. It represents reasonable compensation for the design, development and setup costs incurred by Pure Marketing. VAT at the prevailing rate will be charged on the buyout fee.

What you receive on payment of the buyout fee: Upon receipt of all outstanding fees, Pure Marketing will: (a) package up the full website files and provide them to the Client in a standard format; and (b) assist with migration of the Client's business email account(s) to the Client's chosen provider. Both will be completed within 14 working days.

8. Ownership

All content, images, logos and brand materials provided by the Client remain the property of the Client. The website design, code and hosting infrastructure are owned and operated by Pure Marketing during the subscription. Pure Marketing retains the right to display the website in its portfolio unless the Client requests otherwise in writing.

9. Hosting, Uptime & Support

Pure Marketing will use reasonable commercial efforts to maintain 99.5% monthly uptime. Support requests should be sent to info@puremarketing.uk and will receive a response within 2 working days. Emergency issues (website down) will be prioritised within 4 business hours (Mon–Fri 9am–5:30pm).

10. Client Responsibilities

The Client agrees to: provide all required content promptly; ensure content does not infringe third-party rights; keep payment details current; not attempt to access or modify server infrastructure without written permission; and ensure all website content complies with applicable UK law including UK GDPR.

11. Limitation of Liability

Pure Marketing's total aggregate liability shall not exceed the total monthly fees paid in the 3 months preceding the claim. Pure Marketing shall not be liable for indirect, consequential or incidental loss including loss of profits or data.

12. Confidentiality

Both parties agree to keep confidential any information that a reasonable person would consider confidential. This obligation survives termination for 2 years.

13. Disputes & Governing Law

This agreement is governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.

14. Entire Agreement

This agreement, together with the plan description and onboarding information, constitutes the entire agreement between the parties.
